Terms & Conditions
1. Introduction
These Terms and Conditions (“Terms”) govern all transactions, communications, and business dealings between Arabian Gulf Metals Trading (“AGM”, “we”, “our”, or “the Company”) and its clients, suppliers, buyers, or partners (“Client” or “Counterparty”).
By engaging in any transaction, inquiry, shipment, or contractual agreement with Arabian Gulf Metals, the Client agrees to be bound by these Terms.
2. Scope of Business
Arabian Gulf Metals Trading operates as a scrap metal recycling and trading company dealing in ferrous and non-ferrous materials, including but not limited to:
- Copper (Milberry, Candy Berry, etc.)
- Aluminium (UBC and related grades)
- Lead and battery-related materials
- Other recyclable metal streams
All transactions are subject to agreed commercial contracts, invoices, and shipping documentation.
3. Product Specifications & Quality
3.1 All materials are supplied according to internationally recognized scrap classifications and mutually agreed specifications.
3.2 Quality descriptions provided in quotations, invoices, or communication are made in good faith and based on internal inspection procedures.
3.3 Buyers are responsible for reviewing contractual specifications prior to shipment confirmation.
3.4 Any quality claims must be submitted in writing within seven (7) days of cargo arrival at the destination port, accompanied by independent inspection evidence.
4. Pricing & Payment Terms
4.1 Prices are subject to market fluctuations and are valid only for the period stated in the official quotation.
4.2 Payment terms shall be specified in the sales contract or proforma invoice.
4.3 Accepted payment methods may include:
- Telegraphic Transfer (T/T)
- Letter of Credit (L/C), where agreed
- Other mutually agreed arrangements
4.4 Failure to make payment within agreed timelines may result in suspension of shipments, cancellation of contracts, or legal action.
5. Shipment & Delivery
5.1 Delivery terms (FOB, CIF, CFR, etc.) shall be specified in the sales contract in accordance with Incoterms (latest version).
5.2 Risk transfers to the buyer as per the agreed Incoterm.
5.3 Arabian Gulf Metals is not liable for delays caused by:
- Port congestion
- Customs inspections
- Shipping line schedule changes
- Force majeure events
5.4 All containers are inspected and loaded in accordance with standard industry practices.
6. Documentation
6.1 The Company provides standard export documentation including:
- Commercial Invoice
- Packing List
- Weight Certificates
- Bill of Lading
- Customs Documentation
6.2 The Client is responsible for ensuring compliance with import regulations in the destination country.
7. Compliance & Regulatory Obligations
7.1 Arabian Gulf Metals operates in accordance with applicable laws and regulations in the Kingdom of Bahrain.
7.2 The Company is registered with relevant authorities, including environmental regulatory bodies.
7.3 Clients must ensure that their business activities comply with applicable local and international trade laws.
8. Limitation of Liability
8.1 Arabian Gulf Metals shall not be liable for indirect, incidental, or consequential damages arising from any transaction.
8.2 Total liability, if applicable, shall not exceed the total invoice value of the shipment in question.
8.3 The Company shall not be held responsible for losses resulting from:
- Market price fluctuations
- Currency exchange variations
- Regulatory changes
- Delays beyond operational control
9. Force Majeure
Arabian Gulf Metals shall not be liable for failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:
- Natural disasters
- Government restrictions
- War or political instability
- Labor strikes
- Shipping disruptions
In such cases, contractual obligations may be suspended for the duration of the force majeure event.
10. Dispute Resolution
10.1 Any dispute arising from transactions with Arabian Gulf Metals shall first be resolved through mutual negotiation.
10.2 If unresolved, disputes shall be governed by the laws of the Kingdom of Bahrain.
10.3 Jurisdiction shall lie with the competent courts of Bahrain unless otherwise agreed in writing.
11. Confidentiality
All commercial terms, pricing, documentation, and trade information exchanged between parties shall remain confidential and may not be disclosed to third parties without prior written consent.
12. Amendments
Arabian Gulf Metals reserves the right to update or modify these Terms at any time without prior notice. The latest version will always apply to ongoing and future transactions.
